Surely this is an open and shut case? Matching an offer is exactly that, not just making it seem mostly the same but adding some extra clauses that are not in the other parties favour?
For all intents and purposes, Nike set up their offer so that they would pay less than Brooks given some potential circumstances. That is not matching an offer. It should be the same to the letter.
